Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Decoder mobile application and related services (the "Service"), provided by MimicLabs ("MimicLabs", "we", "us", or "our"). By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent that you are 16 or older and that you have the legal capacity to enter into these Terms.

2. The Service

Decoder reads documents that you provide, such as bills, contracts, letters, notices, and similar paperwork, and produces a plain-language explanation of what the document contains. The Service describes and summarises the content of a document. It does not complete, negotiate, or act on any document for you.

3. Not professional advice

The Service does not provide legal, financial, medical, tax, or other professional advice, and no output of the Service should be treated as such. Decoder explains documents. It does not tell you what to do. The output is generated by automated systems and may be incomplete or inaccurate. You are responsible for any decision you make, and you should consult a qualified professional before acting on any document. Your reliance on the Service is at your own risk.

4. Accounts

You may need to create an account to use the Service. You may sign in using Apple, Google, or an email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us at support@mimiclabs.au if you believe your account has been compromised.

5. Subscriptions, free trial, and billing

Access to the Service requires an auto-renewing subscription, which may begin with a free trial period. Subscriptions are sold and processed through the Apple App Store and are billed to your Apple ID.

6. Documents and content you submit

You retain all rights to the documents and text you submit to the Service ("Your Content"). You grant MimicLabs a limited, non-exclusive licence to process Your Content solely to provide the Service to you, including sending the text of a document to our third-party processing provider to generate the analysis. We do not use Your Content for advertising, and we do not sell it. Our handling of Your Content is described in our Privacy Policy.

You represent that you have the right to submit Your Content and that doing so does not violate any law or the rights of any third party. Do not submit content that you are not authorised to share.

The Service, including its software, design, and content (excluding Your Content), is owned by MimicLabs and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks, logos, or branding. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial use, subject to these Terms.

9. Third-party services

The Service relies on third-party services, including Apple for distribution and payments and other providers described in our Privacy Policy. Your use of those services may be subject to their own terms. We are not responsible for third-party services.

This application uses Apple's standard Licensed Application End User License Agreement (EULA) except where these Terms expressly modify it. Apple is not a party to these Terms and is not responsible for the Service.

10. Availability and changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time. We may also impose limits on certain features or restrict access without notice or liability.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that its output will be accurate or complete. Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that you may have under applicable consumer protection law that cannot lawfully be excluded.

12. Limitation of liability

To the maximum extent permitted by law, MimicLabs will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid to us for the Service in the twelve months before the claim, or fifty Australian dollars (AUD 50). Where liability cannot lawfully be excluded but can be limited, our liability is limited, at our option, to resupplying the Service or paying the cost of having it resupplied.

13. Indemnity

You agree to indemnify and hold harmless MimicLabs from any claims, damages, liabilities, and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Termination

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate your access if you breach these Terms or if we are required to do so by law. Provisions that by their nature should survive termination will survive, including the sections on content, disclaimers, limitation of liability, and governing law.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page and, where appropriate, provide notice within the app. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. The courts of New South Wales, Australia have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. The Service is available to users worldwide. If you access the Service from outside Australia, you are responsible for compliance with your local laws, and nothing in these Terms limits any mandatory consumer protection rights available to you in your country of residence.
